JOB SUMMARY:
The MSP Contract Manager ('CM") is responsible for overseeing contract management and negotiations for contingent labor and SOW suppliers supporting iMSP and MSP programs, with a primary focus on critical suppliers. Lead discussions with critical suppliers regarding their Supplier Agreement ("SA") redline requests and any program-specific SA inquiries (i.e. use of subcontractors/Independent Contractors; clarification regarding indemnification, cure period).
Manage client conversations with key stakeholders to facilitate feedback/recommendations and to obtain necessary approvals regarding SA modifications requested by critical suppliers invited to participate in new client implementations and/or program expansions. Will also collaborate with client services and internal leadership teams to address concerns raised by critical suppliers regarding the business terms and conditions outlined in the SA.
Ultimately, the CM will develop and improve overall contract management processes and strategies to drive results to improve Randstad's speed to market with critical suppliers within MSP and iMSP.
Work will be full-time remote.
RESPONSIBILITIES:
Supplier Agreement & Amendment Management, including Supplier Guidance & Counsel:
- Function as the Supplier Strategy subject matter expert regarding contractual issues for iMSP and MSP suppliers supporting Randstad client programs
- Manage the SA redline review process for critical suppliers engaged to participate in new client implementations and program expansions. This encompasses ensuring redline requests from critical suppliers are reviewed/responded to in a timely manner, and in accordance with the law, and company operating policies and objectives
- Assist Supplier Specialists with answering SA-related inquiries/concerns received from critical suppliers
- Lead contract-related negotiations with critical suppliers, and their Legal Counsel, where applicable
- Manage version control of SA's, including SA amendment templates on behalf of Supplier Strategy
SA Approval Management To Deviate From Standard Terms and Conditions With Critical Suppliers
- Manage direct communication with clients regarding SA questions and/or redline requests received from critical suppliers. Engage client services in discussions, as needed
- Obtain required approvals from client and/or internal Randstad stakeholders to deviate from standard SA terms with critical suppliers (i.e. drafting and facilitating the execution of client Exception Addendums)
- The CM will serve as Supplier Strategy's primary point of contact regarding supplier contracts and as noted above, manage any necessary redline escalations/approvals for critical suppliers with the designated internal Randstad stakeholders
Program Relationship Management and Guidance
- Develop and maintain executive level relationships across the iMSP and MSP lines of business to discuss contract-related matters for critical suppliers
- Build relationships with representatives from client services, Business Optimization, technology, SDC, ROC, back office, Risk, and VMS Performance teams to help communicate any potential supplier onboarding challenges encountered during the life-cycle of the SA review and execution process
Support of Supplemental Projects
- Manage identified legal, contract-related, and/or diversity projects which may include:
- The development of a formal SA contract review process to be employed by the Supplier Strategy team (i.e. creation of an SOP outlining the processes to be followed when suppliers request redlines)
- Modifying SA redline template created by Randstad Legal which outlines how to handle typical redline requests for each section of the SA for both MSP and iMSP
- Initiate and complete a comprehensive review of iMSP and MSP SA's to determine if Randstad's current terms and conditions are in line with industry standard(s); work with Randstad Legal regarding any potential SA template modification recommendations
- The development and execution of a streamlined strategy to manage worker assignment transitions (especially within iMSP) for rationalized suppliers as part of new client implementations or existing program expansions
- Education of clients and/or internal Randstad stakeholders regarding the importance of limiting the acceptance of redline requests from critical suppliers
- Support development and implementation of best practices for overall supplier contract management, including rejecting initial supplier redline requests, and limiting the amount of redline requests reviewed by Supplier Strategy in connection with critical suppliers

- Guidance given:Assignments are received in objective-oriented terms. Work is reviewed in terms of meeting the organization's objectives and schedules
- Sound judgment:Exercises sound judgment on when to escalate negotiations to Randstad Legal
Direct Work Involvement/Complexity:
- Responsible for all projects assigned to the organizational unit. Acts as an advisor to help meet established implementation and onboarding schedules and resolve SA execution challenges
- Responsible for client contract reporting, if needed
- Prepare supplier contracts for approval and sign off
- Review client MSA contract revisions which may necessitate an Amendment to SA
Liaison:
- Regular contact with higher and equivalent level inter-organizational managers and client representatives concerning projects, operational decisions, or contractual clarifications
- Conducts SA review redline meetings for internal and external representatives
- Serves as a liaison with Randstad Legal on contractual issues which may require escalation, including global contracts in connection with MSP and iMSP lines of business
EDUCATION:
- Bachelor's degree required
- Juris Doctor not required, but a plus
EXPERIENCE:
- Minimum of 4 years of experience with contract management; 5 plus years preferred
- Understanding of and experience with MSP and iMSP programs including managing Supplier Agreements required
- Paralegal experience a plus
- Able to work in a fast-paced department and organization independently and as part of a team
SKILLS REQUIRED:
- Proficient with Microsoft Office tools including Word, Excel, PowerPoint, Outlook
- Strong analytical, customer focus, and customer service skills
- Excellent communication, interpersonal, and organizational skills
- Experience presenting to client Procurement and HR stakeholders
- Demonstrated experience managing large, complex accounts or projects
- Advanced knowledge of relevant laws, regulations, terms, conditions, and policies governing MSP and iMSP Supplier Agreements
- Must be detail-oriented with a concern for quality expressed by continually initiating process improvements and documenting contract requirements
